F45 TRAINING C51 GRAND PRIZE DRAW

OFFICIAL TERMS AND CONDITIONS

UNITED STATES

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. NO F45 TRAINING MEMBERSHIP IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. OPEN ONLY TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA WHO ARE 18 YEARS OF AGE OR OLDER.

  1. Sponsor and Promoter

This promotion is sponsored, promoted and administered by F45 Training Inc., a Delaware corporation whose registered business address is 3601 South Congress Avenue, Building E, Austin, Texas 78704, United States of America (the "Sponsor", "F45 Training", "we", "us" or "our").

The Sponsor is the sole provider of the prizes described in Section 7, except where a prize is supplied by a third-party partner identified in that Section.

Questions about this promotion should be directed to [email protected].

  1. Agreement to These Terms; Independent Promotion

By entering the C51 Grand Prize Draw, each entrant agrees to be bound by these Official Terms and Conditions (the "Terms") and by the decisions of the Sponsor, which are final and binding in all matters relating to this promotion. Entrants who do not agree should not enter.

IMPORTANT: The C51 Grand Prize Draw is a separate and independent promotion from the C51 Weekly Prize Giveaway. The two promotions have different entry requirements, different entry forms, different qualifying periods, different draws and different prizes, and each is conducted under its own separate official rules. Entry into one is not entry into the other, and these Terms do not apply to the C51 Weekly Prize Giveaway. The rules for that promotion are available at https://f45training.com/terms-conditions-f45-challenge-weekly-giveaway/.

These Terms operate in addition to F45 Training’s Terms of Service and Privacy Policy, available at https://f45training.com/f45-challenge/ and https://f45training.com/privacy-policy/, which are incorporated by reference. In the event of a conflict between these Terms and any advertising or promotional material for this promotion, these Terms prevail.

  1. Promotion Period

The C51 Grand Prize Draw begins at 12:00 a.m. Central Time on Monday, 5 October 2026 and ends at 11:59 p.m. Central Time on Wednesday, 18 November 2026 (the "Promotion Period"). One (1) draw will be conducted on 20 November 2026.

References in these Terms to the "Challenge Period" are to the period beginning 5 October 2026 and ending 13 November 2026, being the forty (40) day period of the C51 Challenge.

All entries must be received during the Promotion Period and, to qualify for a draw, on or before the closing time for that draw. The Sponsor’s system clock is the official time-keeping device for this promotion.

  1. Eligibility

To be eligible, an entrant must, at the time of entry:

(a)be eighteen (18) years of age or older; and

(b)be a legal resident of, and physically located in, one of the fifty (50) United States or the District of Columbia.

This promotion is void in Puerto Rico, Guam, the United States Virgin Islands, American Samoa, the Northern Mariana Islands and all other United States territories and possessions, and everywhere else it is prohibited or restricted by law.

An F45 Training membership is required only to enter by the method described in Sections 6.1 and 6.2. No membership, no payment and no purchase of any kind is required to enter by the free method described in Section 6.3, which is open to every eligible person.

The Sponsor may require proof of age, identity and residence at any time and may disqualify any entrant who cannot provide it. This promotion is void wherever it is prohibited or restricted by law.

  1. Employee and Affiliate Exclusion

Employees, officers, directors, members, trainers, instructors, contractors, agents and representatives of the Sponsor and of its parent, subsidiaries, affiliates, franchisees, studios, prize suppliers and distributors, and of its advertising, promotion, fulfilment and judging agencies, together with the immediate family members (spouse, parent, child or sibling, and their respective spouses, regardless of where they live) and household members (whether related or not) of each of the foregoing, are not eligible to enter or win.

  1. How to Enter

There are two (2) ways to obtain an entry. Entries obtained by either method are pooled together and carry equal weight in the random draw. No purchase, payment or F45 Training membership is necessary to enter or win, and none of them will improve an entrant’s chance of winning. The maximum number of entries available under each method is the same: two (2).

6.1  Entry Method A — C51 Challenge registration

Register for the C51 Challenge in the F45 Training app on or before 11:59 p.m. Central Time on Monday, 12 October 2026. Registration for the C51 Challenge is free of charge and is open to current F45 Training members. Registration gives one (1) entry into this promotion.

6.2  Bonus Entry — twenty (20) classes during the Challenge Period

An entrant who has registered for the C51 Challenge and who completes twenty (20) Eligible Classes during the Challenge Period (5 October 2026 to 13 November 2026) receives one (1) additional entry, giving a maximum of two (2) entries under Sections 6.1 and 6.2 together.

An "Eligible Class" is an F45 Training class booked and attended by the entrant, in person, at a participating F45 Training studio, and recorded as attended in the F45 Training app. Attendance is tracked through the F45 Training app and the Sponsor’s records of attendance are final and binding. The Bonus Entry is credited when the Sponsor’s records show that the twenty (20) Eligible Classes have been completed.

6.3  Entry Method B — Free entry, no purchase or membership necessary

Complete and submit the online entry form HERE, providing all information requested. Each valid submission gives one (1) entry. A person may submit the form up to two (2) times during the Promotion Period, giving a maximum of two (2) entries — the same maximum available under Sections 6.1 and 6.2 together.

This method requires no purchase, payment, subscription, membership or attendance of any kind, and no F45 Training app account and no social media account is required. Entries obtained by this method are pooled with all other entries before the draw is conducted, are drawn on exactly the same basis, and are eligible for the same prize.

6.4  Entry limitations

(a) Maximum of two (2) entries per person for the whole of the Promotion Period, however obtained.

(b) Entries must be submitted personally by the entrant. Entries generated by script, macro, bot or any automated or bulk means are void.

(c) Use of multiple accounts, identities, email addresses or telephone numbers to enter will void all of that person’s entries.

(d) Entries that are incomplete, illegible, corrupted, garbled, late or not received for any reason are void.

(e) The Sponsor is not responsible for entries that are lost, delayed, misdirected or not received owing to technical failure, network congestion or any other cause outside its reasonable control.

  1. Prize

One (1) prize is available to be won: a cash prize of US$5,000. The total announced value of the prize in this promotion is US$5,000.

Draw Entries close Draw date Prize Approx. retail value
Grand Prize Draw 18 Nov 2026 20 Nov 2026 Cash prize of US$5,000 US$5,000.00

The prize is a fixed cash amount of US$5,000. No other prize forms part of this promotion, and no additional prize, merchandise or benefit will be awarded with it.

7.1  Prize conditions

(a) No substitution, transfer, assignment or cash equivalent will be permitted except by the Sponsor, which reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable or cannot lawfully be awarded in the winner’s jurisdiction.

(b) All costs and expenses not expressly described as included in a prize are the sole responsibility of the winner.

(c) A prize is awarded to the named winner only and may not be redeemed by any other person.

The prize will be paid by electronic funds transfer to a bank account in the winner’s own name within thirty (30) days of completion of the verification steps in Section 9.

7.2  Odds of winning

The odds of winning the prize depend on the total number of eligible entries received during the Promotion Period. Neither the Sponsor nor any other person can predict that number in advance.

No purchase, payment or membership is necessary and none of them improves an entrant’s chance of winning. A person entering free of charge under Section 6.3 may obtain the same maximum number of entries — two (2) — as a person entering under Sections 6.1 and 6.2 together. Entries obtained free of charge are pooled with all other entries before the draw is conducted and have an identical chance of being selected.

  1. Winner Selection

Each draw will be conducted by the Sponsor at 3601 South Congress Avenue, Building E, Austin, Texas 78704, United States of America, on the date shown in the table in Section 7, at 10:00 a.m. Central Time on that date. Each draw is a random draw conducted by computerised random selection from among all eligible entries for that draw, so that every eligible entry has a random and equal chance of being selected.

One (1) winner will be drawn. Where the conditions of a permit or authority held by the Sponsor or a Promoter require it, the draw will be independently scrutinised.

The decisions of the Sponsor in relation to all matters concerning the draws are final and binding, subject to any right of review conferred by law or by a regulator.

  1. Winner Notification, Verification and Announcement

(a) Each potential winner will be notified no more than two (2) business days after the relevant draw, using the contact details supplied at entry, by email and (where an Instagram handle was supplied) by Instagram direct message from @f45training.

(b) Each potential winner must respond to the notification within three (3) business days.

(c) Before a prize is released, the potential winner must execute and return a declaration of eligibility, a liability release and (except where prohibited by law) a publicity release, together with any tax documentation required by Section 10, within five (5) business days of the date the documents are sent.

If a potential winner cannot be contacted, does not respond within the time allowed, is found to be ineligible, declines the prize, or fails to return the required documents, the prize will be forfeited and an alternate winner may be drawn at random from among the remaining eligible entries for that draw, time permitting.

The winner will be announced via email on or about 24 November 2026. Only the winner’s first name, last initial and state of residence will be published.

  1. Taxes

The prize is taxable. The winner is solely responsible for all federal, state and local taxes, levies and reporting obligations arising from receipt of the prize.

Because the value of the prize is US$2,000 or more, the prize will be reported to the Internal Revenue Service on IRS Form 1099-MISC. The winner must supply a completed IRS Form W-9 with a valid Social Security Number or Taxpayer Identification Number before the prize is released. Failure to provide a completed Form W-9 within five (5) business days of request will result in forfeiture of the prize, and failure to furnish a correct taxpayer identification number may result in backup withholding at the rate then prescribed by law.

The Sponsor does not provide tax advice. Entrants should consult their own tax adviser about the consequences of entering or winning.

  1. Publicity Release

Except where prohibited by law, acceptance of a prize constitutes the winner’s consent to the Sponsor’s use of their name, city and state of residence, likeness, photograph, voice, image, social media handle and any statements they make about this promotion, for advertising, promotional and publicity purposes, in all media now known or later devised, worldwide, in perpetuity, without further notice, review, approval or compensation.

  1. Privacy

Personal information collected in connection with this promotion is collected by the Sponsor and used to administer it — to verify eligibility and class attendance, conduct the draws, contact and verify winners, deliver prizes, announce results and meet the Sponsor’s record-keeping obligations — and otherwise in accordance with the Sponsor’s Privacy Policy at https://f45training.com/privacy-policy/.

Personal information collected in connection with this promotion is stored and processed in the United States.

Entrants may request access to, correction of, or deletion of their personal information, or withdraw a consent, by contacting [email protected].

Personal information collected through the free entry form is collected for this promotion only. Entry does not subscribe an entrant to any marketing communication; any marketing consent is sought separately and is not a condition of entry.

  1. General Conditions

The Sponsor reserves the right to cancel, suspend or modify this promotion, or any part of it, if fraud, technical failure or any other factor beyond the Sponsor’s reasonable control impairs its integrity or proper functioning, subject to any approval required by a regulator.

The Sponsor may disqualify any individual it finds to be tampering with the entry process or the operation of this promotion, misrepresenting class attendance, acting in breach of these Terms, or acting in a disruptive manner or with intent to annoy, abuse, threaten or harass any other person.

Any attempt deliberately to undermine the legitimate operation of this promotion may be a violation of criminal and civil law, and the Sponsor reserves the right to seek damages and other remedies to the fullest extent permitted by law.

  1. Release and Limitation of Liability

By entering, each entrant releases and agrees to hold harmless the Sponsor, its parent, subsidiaries, affiliates, franchisees and studios, each prize supplier, and each of their respective officers, directors, employees, trainers, instructors, contractors and agents (together, the "Released Parties"), from any and all liability for any loss, harm, damage, injury, illness, cost or expense arising out of or in connection with participation in this promotion, attendance at any class, or the acceptance, receipt, possession, use or misuse of a prize.

The Released Parties are not responsible for technical, hardware, software, server, network or telephone failures; lost, interrupted or unavailable connections; garbled or jumbled transmissions; or any entry that is late, lost, misdirected or not received.

Participation in F45 Training classes is physical activity undertaken at the entrant’s own risk and remains subject to the relevant F45 Training studio’s separate membership terms and waiver. Nothing in this promotion requires or encourages any entrant to train beyond their own physical capacity, and an entrant should not attend a class against medical advice in order to qualify for an entry.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow limitations on implied warranties or the exclusion or limitation of incidental or consequential damages, so some of the above may not apply to every entrant.

  1. Disputes and Governing Law

These Terms are governed by the laws of the State of Texas, United States of America, without regard to its conflict of law principles. Each entrant submits to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

Except where prohibited, each entrant agrees that any and all disputes arising out of or connected with this promotion will be resolved individually and not by class action; that any recovery will be limited to actual out-of-pocket costs incurred in entering, excluding attorneys' fees; and that no punitive, incidental or consequential damages may be awarded. Some jurisdictions do not allow these limitations, so they may not apply to every entrant.

  1. Meta (Instagram and Facebook) Release

This promotion is in no way sponsored, endorsed or administered by, or associated with, Meta Platforms, Inc., Instagram or Facebook. Entrants provide their information to the Sponsor, not to Meta. By entering, each entrant completely releases Meta, Instagram and Facebook from any and all liability arising out of or relating to this promotion. Entrants are also bound by Instagram’s and Facebook’s respective Terms of Use.

No method of entry requires an entrant to share content on a personal timeline, to tag another person, to repost promotional content, or to take any other action that Meta’s promotion guidelines prohibit. No Instagram or Facebook account is required to enter.

  1. United States Regulatory Matters

17.1  Registration and bonding

The total announced value of the prizes in this promotion is US$5,000. That amount does not exceed US$5,000, and registration and bonding under article 24-A of the New York General Business Law and under section 849.094 of the Florida Statutes are accordingly not required for this promotion.

The C51 Weekly Prize Giveaway is a separate promotion with its own entry requirements, its own entries, its own draw and its own prize pool, and its prize values do not form part of the announced value of the prizes in this promotion.

17.2  Entry channels

Every method of entry into this promotion is conducted online. No entry, entry form or game piece is offered, distributed or accepted at or through any F45 Training studio or other retail premises.

  1. Winner List

To request the name of a winner, email [email protected] or write to F45 Training Inc., Attn: C51 Winner List, 3601 South Congress Avenue, Building E, Austin, Texas 78704, United States of America, by 31 March 2027.

  1. Severability

If any provision of these Terms is held to be invalid or unenforceable in any jurisdiction, that provision will be severed to the extent of the invalidity or unenforceability in that jurisdiction only, and the remaining provisions will continue in full force and effect.

No failure or delay by the Sponsor in exercising a right under these Terms operates as a waiver of that right.

(b) be a legal resident of, and physically located in, Canada.

This promotion is open to residents of all Canadian provinces and territories, including Quebec.

An F45 Training membership is required only to enter by the method described in Sections 6.1 and 6.2. No membership, no payment and no purchase of any kind is required to enter by the free method described in Section 6.3, which is open to every eligible person.

  1. How to Enter

There are two (2) ways to obtain an entry. Entries obtained by either method are pooled together and carry equal weight in the random draw. No purchase, payment or F45 Training membership is necessary to enter or win, and none of them will improve an entrant’s chance of winning. An "Eligible Class" is an F45 Training class booked and attended by the entrant, in person, at a participating F45 Training studio, and recorded as attended in the F45 Training app. Attendance is tracked through the F45 Training app and the Sponsor’s records of attendance are final and binding. 7.2  Odds of winning

The odds of winning the prize depend on the total number of eligible entries received during the Promotion Period. Neither the Sponsor nor any other person can predict that number in advance.

No purchase, payment or membership is necessary and none of them improves an entrant’s chance of winning.

(c) Before a prize is awarded, the potential winner must correctly answer, unaided and within the time allowed, the mathematical skill-testing question described in Section 17.1.

(d) Before a prize is released, the potential winner must execute and return a declaration of eligibility, a liability release and (except where prohibited by law) a publicity release, together with any tax documentation required by Section 10, within five (5) business days of the date the documents are sent.

Only the winner’s first name, last initial and province or territory of residence will be published, and only with that winner’s consent.

  1. Taxes

The Sponsor does not withhold tax from the prize. The winner is solely responsible for determining and meeting any federal, provincial or territorial tax or reporting obligation that may arise from receipt of the prize, including any obligation arising because the prize is connected with the winner’s business or employment.

The Sponsor does not provide tax advice. Entrants should consult their own tax adviser about the consequences of entering or winning.

  1. Publicity Release

Acceptance of a prize constitutes the winner’s consent to the Sponsor’s use of their name, city and province or territory of residence, likeness, photograph, voice, image, social media handle and any statements they make about this promotion, for advertising, promotional and publicity purposes, in all media now known or later devised, worldwide, in perpetuity, without further notice, review, approval or compensation. This consent is obtained separately and in writing from each winner before any such use, by means of the publicity release referred to in Section 9.

Personal information collected in connection with this promotion is transferred to, stored in and processed in the United States, whose data protection laws differ from those of Canada, and may be accessible to United States courts, law enforcement and regulatory authorities. The Sponsor has contractual measures in place intended to give that information a comparable level of protection.

The Sponsor’s handling of personal information is subject to the Personal Information Protection and Electronic Documents Act and, in respect of Quebec residents, to the Act respecting the protection of personal information in the private sector as amended by Quebec’s Law 25. Quebec residents have the rights of access, rectification, withdrawal of consent, de-indexation and data portability conferred by that legislation.

  1. General Conditions

The Sponsor reserves the right to cancel, suspend or modify this promotion, or any part of it, if fraud, technical failure or any other factor beyond the Sponsor’s reasonable control impairs its integrity or proper functioning, subject to any approval required by law.

Nothing in these Terms excludes, restricts or modifies any right, guarantee or remedy conferred by applicable Canadian consumer protection legislation, including the Consumer Protection Act (Quebec), that cannot lawfully be excluded, restricted or modified.

  1. Disputes and Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in that province, without regard to conflict of law principles. Each entrant submits to the exclusive jurisdiction of the courts of the Province of Ontario.

Nothing in this Section limits the right of a Quebec resident to bring proceedings before the courts of Quebec where article 3149 of the Civil Code of Québec so provides, or any other mandatory right of a consumer that cannot lawfully be waived.

Except where prohibited, each entrant agrees that any and all disputes arising out of or connected with this promotion will be resolved individually and not by class action; that any recovery will be limited to actual out-of-pocket costs incurred in entering, excluding legal fees; and that no punitive, incidental or consequential damages may be awarded. This paragraph does not apply to the extent that a class action waiver is unenforceable under applicable provincial law.

  1. Canadian Regulatory Matters

17.1  Mathematical skill-testing question

Before being declared a winner and before any prize is awarded, each potential winner must correctly answer, without assistance of any kind and within five (5) minutes of the question being put to them, a time-limited mathematical skill-testing question requiring the application of addition, subtraction, multiplication and division. One (1) attempt is permitted.

A potential winner who does not answer the question correctly, or who does not answer within the time allowed, forfeits the prize, and an alternate winner may be drawn at random from among the remaining eligible entries for that draw, time permitting. This requirement applies to every prize in this promotion.

17.2  Quebec and the French language

This promotion is open to residents of Quebec. A French-language version of these Terms, of the short-form rules, of the entry form and of all advertising directed at Quebec is available below on terms at least as favourable as the English version.

In the case of any inconsistency between the English and French versions of these Terms, the French version governs in respect of entrants resident in Quebec and the English version governs in respect of all other entrants.

17.3  Disclosure

The number and approximate retail value of the prizes, the region to which they are allocated, the method by which winners are selected, the closing date of this promotion and the facts affecting the chances of winning are disclosed in Sections 3, 6, 7 and 8. These Terms are available free of charge, without purchase and without the provision of any personal information.

The C51 Weekly Prize Giveaway is a separate promotion with its own entries, its own draw and its own prizes. Its prizes are disclosed in its own official rules and do not form part of the prizes disclosed in these Terms.

Grand Prize Draw 18 nov. 2026 20 nov.

IMPORTANT: The C51 Grand Prize Draw is a separate and independent promotion from the C51 Weekly Prize Giveaway. The two promotions have different entry requirements, different qualifying periods, different draws and different prizes, and each is conducted under its own separate official rules.

All entries must be received during the Promotion Period and, to qualify for a draw, on or before the closing time for that draw. The Sponsor’s system clock is the official time-keeping device for this promotion.

To be eligible, an entrant must, at the time of entry:

(a) be eighteen (18) years of age or older; and

(b) be a legal resident of, and physically located in, the Republic of Singapore.

Entry into this promotion requires registration for the C51 Challenge, as described in Section 6. The C51 Challenge is a fitness programme offered by participating F45 Training studios. A participating studio may charge for the C51 Challenge; any such charge is that studio’s ordinary price for the programme and is payment for the services supplied. No separate fee is charged for entry into this promotion, no part of the price of the C51 Challenge is a charge for the right to enter or to win, and the price of the C51 Challenge is not increased by reason of this promotion.

Entries are obtained as described in Sections 6.1 and 6.2, and the maximum number of entries available is two (2). No separate entry fee is charged for this promotion. Where a participating studio charges for the C51 Challenge, that charge is the studio’s ordinary price for the programme, is payment for the services supplied, and is not increased by reason of this promotion.

The C51 Challenge is a fitness programme offered by participating F45 Training studios, and a participating studio may charge for it at that studio’s ordinary price for the programme.

6.3  Entry limitations

  1. Prize

One (1) prize is available to be won: a cash prize of US$5,000, paid in Singapore dollars and worth approximately S$6,334. The prize is allocated to Singapore and is drawn from the Singapore entry pool only.

Draw Entries close Draw date Prize Approx. retail value
Grand Prize Draw 18 Nov 2026 20 Nov 2026 Cash prize of US$5,000, paid in Singapore dollars S$6,334

The prize is a fixed amount of US$5,000 and will be paid in Singapore dollars at the rate applicable on the date of payment. The approximate value of S$6,334 uses an indicative rate of US$1.00 = S$1.2668 as at 11 September 2026. No other prize forms part of this promotion.

The prize will be paid by electronic funds transfer to a Singapore bank account in the winner’s own name within thirty (30) days of completion of the verification steps in Section 9.

7.2  Odds of winning

The odds of winning the prize depend on the total number of eligible entries received during the Promotion Period. Neither the Sponsor nor any other person can predict that number in advance.

No separate entry fee is charged and no payment increases an entrant’s chance of winning. Every entrant obtains entries on the same basis under Sections 6.1 and 6.2, and every eligible entry has a random and equal chance of being selected.

(a) Each potential winner will be notified within two (2) business days of the relevant draw, using the contact details supplied at entry, by email and (where an Instagram handle was supplied) by Instagram direct message from @f45training.

(b) Each potential winner must respond to the notification within three (3) business days.

(c) Each potential winner will in any event be notified within seven (7) days of the relevant draw.

(d) Before a prize is released, the potential winner must execute and return a declaration of eligibility, a liability release and (except where prohibited by law) a publicity release, together with any tax documentation required by Section 10, within five (5) business days of the date the documents are sent.

The winner will be identified by name only; no identification number will be published.

  1. Taxes

The Sponsor does not withhold tax from the prize. The winner is solely responsible for determining and meeting any tax or reporting obligation that may arise in Singapore or elsewhere from receipt of the prize.

The Sponsor does not provide tax advice. Entrants should consult their own tax adviser about the consequences of entering or winning.

  1. Publicity Release

Acceptance of a prize constitutes the winner’s consent to the Sponsor’s use of their name, likeness, photograph, voice, image, social media handle and any statements they make about this promotion, for advertising, promotional and publicity purposes, in all media now known or later devised, worldwide, in perpetuity, without further notice, review, approval or compensation. That consent is obtained separately and in writing from each winner by means of the publicity release referred to in Section 9, and is additional to the publication of results required by Section 17.4.

Personal information collected in connection with this promotion is transferred to, stored in and processed in the United States, whose data protection laws differ from those of Singapore. The Sponsor has contractual measures in place intended to ensure that the recipient provides a standard of protection comparable to that required by the Personal Data Protection Act 2012.

Entrants may request access to, correction of, or deletion of their personal information, or withdraw a consent, by contacting [email protected].

Personal information collected in connection with entry is collected for this promotion only. Entry does not subscribe an entrant to any marketing communication; any marketing consent is sought separately and is not a condition of entry.

The Sponsor collects only the personal data reasonably necessary to administer this promotion. No national identification number is collected as part of entry. Where identity verification is required before a prize is released, any identification document is used only for that purpose, is not published, and is deleted once verification is complete.

Consent to receive marketing messages is sought separately, is not a condition of entry, and does not form part of the entry process. The Sponsor will check the Do Not Call Registry before sending any marketing message to a Singapore telephone number.

  1. General Conditions

The Sponsor reserves the right to cancel, suspend or modify this promotion, or any part of it, if fraud, technical failure or any other factor beyond the Sponsor’s reasonable control impairs its integrity or proper functioning, subject to any approval required by law. Any such change will be published in the same manner as these Terms.

Nothing in these Terms excludes, restricts or modifies any liability, right or remedy that cannot lawfully be excluded, restricted or modified under the laws of Singapore, including under the Consumer Protection (Fair Trading) Act 2003 and the Unfair Contract Terms Act 1977.

  1. Disputes and Governing Law

These Terms are governed by the laws of the Republic of Singapore. Each entrant submits to the exclusive jurisdiction of the courts of Singapore.

Except where prohibited, each entrant agrees that any and all disputes arising out of or connected with this promotion will be resolved individually and not by any form of representative or class proceeding, and that any recovery will be limited to actual out-of-pocket costs incurred in entering.

  1. Singapore Regulatory Matters

17.1  Class licence

This promotion is conducted in Singapore as a trade promotion lottery under the class licence created by the Gambling Control (Trade and Other Promotional Games and Lotteries — Class Licence) Order 2022 (S 660/2022), made under the Gambling Control Act 2022. No separate application to, or approval from, the Gambling Regulatory Authority of Singapore is required provided the conditions of the class licence are met.

No fee of any kind is charged for the right to participate in this promotion. In accordance with the class licence, the right to participate is dependent on the purchase of a service which is the subject of the promotion, namely the C51 Challenge. The C51 Challenge is sold by participating studios at each studio’s ordinary price for that programme, and no part of that price is a fee for the right to participate.

The C51 Weekly Prize Giveaway is a separate promotion conducted under the same class licence, with its own entries, its own draw and its own prizes.

17.2  Disclosure of material information

In accordance with the conditions of the class licence, the Sponsor discloses before each draw: the name of the entity conducting this promotion (Section 1); the date, time and place of each draw (Sections 7 and 8); the rules of the promotion and the methodology used to determine each winner (Sections 6 and 8); the prizes available and how they are allocated (Section 7); how winners will be notified (Section 9); and how results will be publicised (Sections 9 and 17.4). This information accompanies all publicity for this promotion.

17.3  Records

The Sponsor will keep accurate records relating to this promotion, including records of each draw and of the prizes awarded, for a period of not less than five (5) years.

17.4  Publication of results

The results of each draw will be published on the Sponsor’s website for not less than two (2) months from the date of the relevant draw, and each winner will be notified within seven (7) days of being determined. Prizes will be given without undue delay following verification.

17.5  Advertising

No advertising or publicity for this promotion will contain, or make reference in any way to, any gambling article listed in the Second Schedule to the Order, including playing cards, dice, mahjong tiles, dominoes, roulette wheels or gaming machines.

  1. Winner List

To request the name of a winner, email [email protected] or write to F45 Training Inc., Attn: C51 Winner List, 3601 South Congress Avenue, Building E, Austin, Texas 78704, United States of America, by 31 March 2027. Results are also published in accordance with Section 17.4.

  1. Agreement to These Terms; Independent Promotion

By entering the C51 Grand Prize Draw, each entrant agrees to be bound by these Official Terms and Conditions (the "Terms") and by the decisions of the Promoter/Sponsor, which are final and binding in all matters relating to this promotion. Entrants who do not agree should not enter.

IMPORTANT: The C51 Grand Prize Draw is a separate and independent promotion from the C51 Weekly Prize Giveaway. The two promotions have different entry requirements, different qualifying periods, different draws and different prizes, and each is conducted under its own separate official rules. Entry into one is not entry into the other, and these Terms do not apply to the C51 Weekly Prize Giveaway.

Australian Eastern Daylight Time (AEDT) on Monday, 5 October 2026 and ends at 11:59 p.m. Australian Eastern Daylight Time (AEDT) on Wednesday, 18 November 2026 (the "Promotion Period"). One (1) draw will be conducted, on 20 November 2026.

References in these Terms to the "Challenge Period" are to the period beginning 5 October 2026 and ending 18 November 2026, being the forty (40) day period of the C51 Challenge.

All entries must be received during the Promotion Period and, to qualify for a draw, on or before the closing time for that draw. The Promoter/Sponsor’s system clock is the official time-keeping device for this promotion.

  1. Eligibility

To be eligible, an entrant must, at the time of entry:

(a)  be eighteen (18) years of age or older; and

(b)  be a legal resident of, and physically located in, Australia or New Zealand.

All times stated in these Terms are Australian Eastern Daylight Time (AEDT). New Zealand entrants should note that AEDT is two (2) hours behind New Zealand Daylight Time; the closing time for each draw is the AEDT time stated.

The Promoter/Sponsor may require proof of age, identity and residence at any time and may disqualify any entrant who cannot provide it. This promotion is void wherever it is prohibited or restricted by law.

  1. Employee and Affiliate Exclusion

Employees, officers, directors, members, trainers, instructors, contractors, agents and representatives of the Promoter/Sponsor and of its parent, subsidiaries, affiliates, franchisees, studios, prize suppliers and distributors, and of its advertising, promotion, fulfilment and judging agencies, together with the immediate family members (spouse, parent, child or sibling, and their respective spouses, regardless of where they live) and household members (whether related or not) of each of the foregoing, are not eligible to enter or win.

  1. How to Enter

6.1  Entry — C51 Challenge registration

Register for the C51 Challenge in the F45 Training app on or before 11:59 p.m. Australian Eastern Daylight Time (AEDT) Monday, 12 October 2026. The C51 Challenge is a fitness programme offered by participating F45 Training studios, and a participating studio may charge for it at that studio’s ordinary price for the programme. Registration gives one (1) entry into this promotion.

6.2  Bonus Entry — twenty (20) classes during the Challenge Period

An entrant who has registered for the C51 Challenge and who completes twenty (20) Eligible Classes after they have registered for the C51 Challenge during the Promotion Period receives one (1) additional entry, giving a maximum of two (2) entries under Sections 6.1 and 6.2 together.

An "Eligible Class" is an F45 Training class booked and attended by the entrant, in person, at a participating F45 Training studio, and recorded as attended in the F45 Training app. Attendance is tracked through the F45 Training app and the Promoter/Sponsor’s records of attendance are final and binding. The Bonus Entry is credited when the Promoter/Sponsor’s records show that the twenty (20) Eligible Classes have been completed.

6.3  Entry limitations

(a)  Maximum of two (2) entries per person for the whole of the Promotion Period, however obtained.

(b)  Entries must be submitted personally by signing up for the C51 Challenge on F45’s app and signing up and completing the Eligible Classes through F45’s app and/or MindBody at the respective F45 Training Studio by the entrant.

(e)  The Promoter/Sponsor is not responsible for entries that are lost, delayed, misdirected or not received owing to technical failure, network congestion or any other cause outside its reasonable control.

Entries from Australia and New Zealand are pooled into a single entry pool and compete for the same prize.

7.1  Prize conditions

(a)  No substitution, transfer, assignment or cash equivalent will be permitted except by the Promoter/Sponsor, which reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable or cannot lawfully be awarded in the winner’s jurisdiction.

(b)  All costs and expenses not expressly described as included in a prize are the sole responsibility of the winner.

(c)  A prize is awarded to the named winner only and may not be redeemed by any other person.

The prize will be paid by electronic funds transfer to a bank account in the winner’s own name in the winner’s country of residence within twenty-eight (28) days of completion of the verification steps in Section 9 (within 28 days of the draw for VIC).

7.2  Odds of winning

The odds of winning the prize depend on the total number of eligible entries received during the Promotion Period. Neither the Promoter/Sponsor nor any other person can predict that number in advance.

No separate entry fee is charged and no payment increases an entrant’s chance of winning. Every entrant obtains entries on the same basis under Sections 6.1 and 6.2, and every eligible entry has a random and equal chance of being selected.

  1. Winner Selection

Each draw will be conducted by the Promoter at 3, 3/5 Young St, Neutral Bay NSW 2089, Australia on the date shown in the table in Section 7, at 10:00 AM AEDT (UTC+11) on 20 November 2026 on that date. Each draw is a random draw conducted by computerised random selection from among all eligible entries for that draw, so that every eligible entry has a random and equal chance of being selected.

One (1) winner will be drawn.

The decisions of the Promoter/Sponsor in relation to all matters concerning the draws are final and binding, subject to any right of review conferred by law or by a regulator.

  1. Winner Notification, Verification and Announcement

(a)  The potential winner will be notified within two (2) business days of the relevant draw, using the contact details supplied at entry, by email and (where an Instagram handle was supplied) by Instagram direct message from @f45training.

(b)  The potential winner must respond to the notification within 14 days.

The winner will be announced on https://f45training.com/f45-challenge/ by 24 November 2026.  The winner will be identified by first name, last initial and state, territory or region of residence (winner(s) first initial, last name and postcode for SA).

  1. Taxes

The Promoter/Sponsor does not withhold tax from the prize. The winner is solely responsible for determining and meeting any tax or reporting obligation that may arise in Australia, New Zealand or elsewhere from receipt of the prize, including any obligation arising because the prize is connected with the winner’s business.

The Promoter/Sponsor does not provide tax advice. Entrants should consult their own tax adviser about the consequences of entering or winning.

  1. Publicity Release

Acceptance of a prize constitutes the winner’s consent to the Promoter/Sponsor’s use of their name, state, territory or region of residence, likeness, photograph, voice, image, social media handle and any statements they make about this promotion, for advertising, promotional and publicity purposes, in all media now known or later devised, worldwide, in perpetuity, without further notice, review, approval or compensation. That consent is obtained separately and in writing from each winner by means of the publicity release referred to in Section 9, and is additional to the publication of winners required by Section 17.1.

  1. Privacy

Personal information collected in connection with this promotion is collected by the Promoter/Sponsor and used to administer it — to verify eligibility and class attendance, conduct the draws, contact and verify winners, deliver prizes, announce results and meet the Promoter/Sponsor’s record-keeping obligations — and otherwise in accordance with the Promoter/Sponsor’s Privacy Policy at https://f45training.com/privacy-policy/.

Personal information collected in connection with this promotion is transferred to, stored in and processed in the United States, whose data protection laws differ from those of Australia and New Zealand. The Promoter/Sponsor takes reasonable steps to ensure that the overseas recipient handles that information in a manner consistent with the Australian Privacy Principles and the New Zealand Privacy Act 2020.

Entrants' personal information will not be used for any purpose beyond those set out in this Section without the entrant’s separate consent.

  1. General Conditions

Subject to any direction or approval of a regulator in a State or Territory in which this promotion is conducted under a permit or authority, the Promoter/Sponsor reserves the right to cancel, suspend or modify this promotion, or any part of it, if fraud, technical failure or any other factor beyond the Promoter/Sponsor’s reasonable control impairs its integrity or proper functioning.

The Promoter/Sponsor may disqualify any individual it finds to be tampering with the entry process or the operation of this promotion, misrepresenting class attendance, acting in breach of these Terms, or acting in a disruptive manner or with intent to annoy, abuse, threaten or harass any other person.

Any attempt deliberately to undermine the legitimate operation of this promotion may be a violation of criminal and civil law, and the Promoter/Sponsor reserves the right to seek damages and other remedies to the fullest extent permitted by law.

  1. Release and Limitation of Liability

By entering, each entrant releases and agrees to hold harmless the Promoter/Sponsor, its parent, subsidiaries, affiliates, franchisees and studios, each prize supplier, and each of their respective officers, directors, employees, trainers, instructors, contractors and agents (together, the "Released Parties"), from any and all liability for any loss, harm, damage, injury, illness, cost or expense arising out of or in connection with participation in this promotion, attendance at any class, or the acceptance, receipt, possession, use or misuse of a prize.

Nothing in these Terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy conferred by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or, for New Zealand entrants, by the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 (NZ), that cannot lawfully be excluded, restricted or modified. Prizes are goods or services to which the consumer guarantees apply, and the limitations in this Section apply only to the extent permitted by those laws.

  1. Disputes and Governing Law

For entrants who are residents of Australia, these Terms are governed by the law of the State or Territory in which the Entrant ordinarily resides. For entrants who are residents of New Zealand, these Terms are governed by the laws of New Zealand and each such entrant submits to the non-exclusive jurisdiction of the courts of New Zealand.

Nothing in this Section limits any statutory right of a consumer that cannot lawfully be waived, and no limitation of liability in these Terms applies to the extent that it would contravene the Australian Consumer Law or the Consumer Guarantees Act 1993.

  1. Meta (Instagram and Facebook) Release

This promotion is in no way Sponsored, endorsed or administered by, or associated with, Meta Platforms, Inc., Instagram or Facebook. Entrants provide their information to the Promoter/Sponsor, not to Meta.

  1. Jurisdiction-Specific Provisions

The following provisions apply to entrants in the jurisdictions named and prevail over any conflicting provision elsewhere in these Terms.

Entry is conditional on registration for the C51 Challenge, which participating studios sell at no more than the price that would apply without the opportunity to take part in this promotion. Participating studios are required not to increase the price of the C51 Challenge by reason of this promotion, and entering costs an entrant nothing beyond that ordinary price.

Prize delivery. Every prize will be delivered to the winner within twenty-eight (28) days of the relevant draw, or of completion of the verification steps in Section 9 if later (within 28 days of the draw for VIC).

Unclaimed prizes. An unclaimed prize draw will be conducted at 3, 3/5 Young St, Neutral Bay NSW 2089 at 10:00 a.m. AEDT on Monday, 22 February 2027 from among the remaining eligible entries, and the winner of that draw will be notified within 2 business days in the same manner as the original winner and published within 7 days of the unclaimed prize draw on the same publication as the original winner.
